Nico Giuliani—the owner of a global jewelry network—approached our international partner, Laduchi Consult.

His ambitious goal was to acquire Carrera y Carrera—one of Spain’s oldest and most distinguished jewelry brands. Owning a piece of Carrera jewelry has been a dream for many Hollywood stars.

Reservation / Status

The former owners had brought Carrera y Carrera to a dire state. The company was bankrupt and had accumulated massive debts across multiple countries. In parallel, ongoing disputes with employees were taking place, and the company was losing its leading designers and master craftsmen.

Mission

Acquiring the trademark in a way that avoided taking on the company’s liabilities, debts, and problems, while simultaneously securing full rights for the global realization and sale of the brand’s products.

Solution

We held negotiations with all creditors – banks, suppliers, tax authorities, and other stakeholders.

Many international visits were carried out:

  • 21 trips to Madrid
  • 14 trips to Moscow
  • 9 trips to Istanbul
  • 6 visits to Nicosia
  • 7 trips to Dubai
  • 4 trips to Hong Kong
  • 2 trips to Doha

An agreement was reached on the appointment of an interim administrator to manage the bankruptcy proceedings.

We managed to ensure that the valuation was conducted solely for the trademark rather than the entire company. As a result, we acquired full rights to Carrera y Carrera’s social networks, marketing materials, domains, and other intangible assets.

Agreements were reached with creditors, the judge, the former owners, and our client on exceptionally favorable terms.

Result

After 18 months of intensive work, we helped the client acquire the core assets that made the company world-renowned—the trademark, product distribution rights, representation rights in 53 countries (including the USA), as well as other brands and digital assets.

As a result, an impressive asset package was formed—without spending a single cent on covering the debts of the former owners.
